1. Agreement to Terms
By accessing or using Tedigo's AI-powered customer service platform and related services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Services.
These Terms apply to all users, including visitors, registered users, and customers who access or use our Services.
2. Description of Services
Tedigo Agency is a fully managed AI receptionist for service businesses. Tedigo operates the underlying AI provider relationships, telephony numbers, and call routing on your behalf as part of the subscription. Our Services include:
- Voice AI that answers inbound calls and books jobs to your calendar
- AI Website Assistant (web chat) trained on the same knowledge base
- Document processing and knowledge base management
- Call recording, transcription, and conversation analytics
- Tedigo-managed phone numbers via Twilio and Telnyx
- Integration capabilities with third-party services
- Team collaboration features
3. Account Registration
Account Creation
To use certain features of our Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
Account Restrictions
You must be at least 16 years old to use our Services. By registering, you represent that you have the legal capacity to enter into these Terms.
4. Subscription Plans and Payment
Subscription Plans
We offer various subscription plans with different features and limitations. Details of current plans, including pricing and features, are available on our pricing page.
Billing and Payment
- Subscription fees are billed in advance on a recurring basis (monthly or annually)
- You authorize us to charge your payment method for all fees and charges
- All payments are non-refundable except where required by law, including any partial billing period at cancellation
- We may change prices with 30 days' notice for existing subscriptions; continued use after the effective date constitutes acceptance
- Stated fees do not include taxes; you are responsible for all applicable sales, use, value-added, or similar taxes
Usage Caps and Fair Use
Each subscription tier includes a stated allowance of voice minutes, web chat conversations, knowledge bases, and chatbots. Tedigo may pause service at the cap until you upgrade or the next billing period begins; there are no per-minute or per-conversation overages. "Unlimited" tiers are subject to a documented fair-use threshold (currently approximately 3,000 voice minutes per month). Tedigo may throttle, suspend, or require an upgrade for usage that materially exceeds typical patterns or that Tedigo determines, in its reasonable discretion, to be abusive.
Free Trial
We may offer free trials for certain plans. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
5. Acceptable Use Policy
You agree not to use our Services, and not to allow any third party to:
- Violate any laws or regulations, including telemarketing, robocall, autodialing, do-not-call, TCPA, CAN-SPAM, recording-consent, or wiretap laws
- Place or receive calls, messages, or chats on behalf of any third party without that party's lawful authorization, or for any purpose that would expose Tedigo or its carriers to fraud, regulatory sanction, or carrier-level blocking
- Upload or transmit viruses, malware, or harmful code
- Engage in fraudulent, deceptive, or misleading activities
- Mislead any caller or chat user about whether they are speaking with an AI; you must not configure the assistant to deny being an AI when sincerely asked
- Harass, abuse, or harm other users
- Attempt to bypass usage limits, voice-minute caps, billing controls, or access restrictions
- Reverse-engineer, decompile, scrape, or attempt to extract source code, prompts, or model weights
- Resell, sublicense, or white-label the Services without a separate written agreement with Tedigo
- Use the Services for illegal or unauthorized purposes
- Create chatbots that generate harmful, offensive, or inappropriate content
- Impersonate any person or misrepresent your identity, affiliation, or authority
- Interfere with or disrupt the Services or servers
Tedigo determines compliance with this Acceptable Use Policy in its reasonable discretion. Violation may result in immediate suspension or termination under Section 12 without refund.
6. Content and Data
Your Content
You retain ownership of all content you upload to our Services ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve our Services.
Content Restrictions
You represent and warrant that:
- You own or have the right to use all User Content
- Your User Content doesn't infringe any third-party rights
- Your User Content complies with all applicable laws
- Your User Content doesn't contain sensitive personal information unless properly secured
AI-Generated Content
Content generated by our AI services is provided as-is. You are responsible for reviewing and verifying any AI-generated content before use. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated responses.
7. Intellectual Property
Our Property
The Services, including all software, text, images, and other content, are owned by Tedigo and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
Feedback
Any feedback, suggestions, or ideas you provide about our Services become our property, and we may use them without compensation or attribution.
8. Third-Party Services
Our Services integrate with third-party providers — including AI vendors (OpenAI, Anthropic, Groq, Google Gemini, and Fixie.ai/Ultravox), payment processing (Stripe), voice and SMS carriage (Twilio Inc., Telnyx LLC), cloud infrastructure (Hetzner Online GmbH, Ashburn VA), and DNS (Cloudflare, DigitalOcean). Your use of these integrations is also subject to the respective third-party terms and policies. We are not responsible for the availability, conduct, content, or terms of third-party providers, and any outage or change at a third-party provider does not entitle you to a refund unless required by law. Tedigo operates these provider relationships on your behalf as part of the managed-service subscription; bring-your-own-key (BYOK) arrangements, where available, are governed by a separate written agreement.

9. Privacy and Data Protection
Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you consent to our data practices as described in the Privacy Policy.
10. Disclaimers and Limitations
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEDIGO'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO TEDIGO IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100). IN NO EVENT SHALL TEDIGO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND SURVIVE TERMINATION.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted or error-free operation of our Services. We may modify, suspend, or discontinue any part of the Services at any time.
11. Indemnification
You agree to indemnify, defend, and hold harmless Tedigo, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
Termination by You
You may terminate your account at any time through your account settings. Termination does not entitle you to any refunds for unused subscription periods.
Termination by Us
Tedigo may suspend or terminate your access immediately, without prior notice or refund, if Tedigo determines in its reasonable discretion that you have violated these Terms, engaged in conduct harmful to the Services, other users, or Tedigo's carrier or vendor relationships, exposed Tedigo to legal or regulatory risk, or failed to pay amounts due.
Effect of Termination
Upon termination, your right to use the Services ceases immediately. Tedigo retains your data for 30 days following termination for recovery purposes before permanent deletion, unless legal requirements dictate longer retention. Sections 6, 7, 10, 11, 13, and any provision that by its nature should survive, will survive termination.
13. Dispute Resolution
Governing Law
These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles.
Arbitration
Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
Class Action and Jury Trial Waiver
You and Tedigo each waive any right to a jury trial and to bring or participate in a class action, class arbitration, collective action, or representative proceeding. Disputes must be brought individually.
Time Limit
Any claim must be filed within one (1) year after the cause of action accrues, or it is permanently barred to the extent permitted by law.
14. Force Majeure
Tedigo is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or carrier outages, third-party AI provider outages, denial-of-service attacks, or other infrastructure failures.
15. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Tedigo regarding the Services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights to any of our affiliates or successors.
16. Updates to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and changing the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
